WeTrade Terms & Conditions (Beta Version)

Effective Date: 10/16/2025

Last Updated: 10/16/2025

1. Acceptance of These Terms

Welcome to WeTrade, a fantasy investing and social platform. By downloading, accessing, or using the WeTrade mobile application or related services (collectively, the “Service”), you agree to be bound by these Terms & Conditions (“Terms” or “Agreement”). This is a legal agreement between you and WeTrade, Inc. (referred to as “WeTrade,” “we,” “us,” or “our”). If you do not agree to these Terms, you may not use the Service. Your use of the Service indicates your acceptance of these Terms in full. These Terms also incorporate our Privacy Policy (see Section 12 below) and any other policies or rules we may publish. WeTrade reserves the right to update or modify these Terms at any time. If we make material changes, we will provide notice (e.g. via the app or email), and continued use of the Service after such changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

2. Eligibility (Age and Location)

2.1 Age Requirement: You must be at least 13 years old to create a WeTrade account or use the Service. WeTrade is not directed to children under 13, and we do not knowingly collect personal information from anyone under 13. If we discover an account for a person under 13, we will delete it in compliance with the Children’s Online Privacy Protection Act (COPPA). By using WeTrade, you represent and warrant that you meet the 13+ age requirement. If you are between 13 and the age of majority in your jurisdiction (typically 18), you affirm that your parent or legal guardian has reviewed and agreed to these Terms on your behalf, and/or that you have their permission to use the Service.

2.2 U.S. Residents Only: The Service is currently offered only to users who are residents of the United States. By using the Service, you affirm that you reside in the U.S. and that you will use the Service only in the U.S. WeTrade makes no representations that the Service is appropriate or available for use in other locations. Accessing the Service from jurisdictions where it is illegal or not permitted is prohibited.

2.3 Legal Compliance: You also represent that you are not located in a country that is subject to a U.S. government embargo, not on any U.S. government list of prohibited or restricted parties, and that you will comply with all applicable export control and sanctions laws in using the Service. You may not use the Service if you are barred from doing so under any applicable laws. WeTrade may restrict access to the Service in certain states or jurisdictions if required by law (for example, void where prohibited). It is your responsibility to ensure that your use of WeTrade is in compliance with all laws and regulations applicable to you.

3. Account Registration and Security

3.1 Account Information: To use WeTrade, you must create an account with a username and password and provide certain truthful, current, and complete information, including your full name, date of birth, phone number, and email address. You agree to provide accurate information and to keep it updated. You must be eligible (per Section 2) to register. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if WeTrade suspects such information is untrue, WeTrade reserves the right to suspend or terminate your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Do not share your passwordwith others. If you believe your account has been compromised or accessed without authorization, notify us immediately.

3.2 One Account Rule: Each user may establish only one account. You may not create multiple accounts or impersonate any other person or entity. You may not sell, transfer, or allow any other person to access your account. WeTrade is not liable for any loss or damage arising from your failure to comply with these account security obligations.

3.3 Communications: By registering, you consent to receive communications from WeTrade electronically (e.g., via email or in-app notifications) regarding your account and the Service. If you provide a phone number, you consent to receive SMS/text messages for account verification and Service-related purposes (standard messaging rates may apply). You can opt out of non- essential communications, but understand that certain transactional or administrative messages are necessary as part of the Service.

4. Description of the Service (Beta Features)

WeTrade is a free-to-play fantasy investing game and social finance platform. The currentBeta version of WeTrade includes the following core features:

Because WeTrade is in beta, features are subject to change, and we may add, remove, or modify aspects of the Service at any time for improvement or other purposes. We’ll try to notify users of significant changes.

5. WeCoin and Rewards – Additional Terms

By participating in the WeCoin system or redeeming any rewards, you agree to the following additional terms:

5.1 No Cash Value & Non-transferability: WeCoins are not real currency and not redeemable for cash. They are solely a measure of virtual points in the WeTrade app. You have no property or ownership interest in WeCoins, and any balance shown in your account does not constitute a bank account or personal property. WeCoins are non-transferable between accounts and may not be sold, gifted, or exchanged outside the Service. Any attempt to transfer or sell WeCoins (other than through official in-app redemption) is strictly prohibited and void.

5.2 Earning WeCoins: WeTrade may award WeCoins for certain actions, such as winning a fantasy investing game, participating in challenges, logging in daily, referring friends, or other in-app activities. The rules for earning (e.g., the number of WeCoins awarded for winning a contest) will be described in the app or on our website and are subject to change. All WeCoin awards are subject to verification. WeTrade may adjust your WeCoin balance if we believe an error was made or if we suspect cheating or fraudulent activity.

5.3 Redemption of WeCoins: You may redeem WeCoins for available items in the WeTrade merch store. Restrictions: (a) You must have enough WeCoins for the chosen item (no partial redemptions or “IOUs”). (b) We may require you to verify your identity or eligibility (e.g., via email or ID verification) before redeeming valuable prizes, especially if required by law or to prevent fraud. (c) Some prizes may have additional eligibility requirements (for example, age or state of residence restrictions) which will be stated in the prize details. (d) WeCoins cannot be used outside of the official methods we provide; for instance, you cannot ask WeTrade to exchange WeCoins for cash or apply them outside the app.

5.4 Delivery of Prizes: For digital rewards (like e-gift cards or promo codes), delivery will typically be via email or in-app. For physical merchandise, you will need to provide a valid U.S. mailing address for shipping. Physical prizes can only be shipped to addresses within the United States (no P.O. boxes, and not to restricted states if any are announced). You are responsible for providing correct shipping information. WeTrade is not responsible for lost, stolen, or misdelivered shipments if the address provided was incorrect or if the item is lost by the carrier, though we will use reasonable efforts to assist in such cases. Title and risk of loss for a physical item passes to you upon delivery to the carrier.

5.5 Prize Use and Warranty: Any merchandise or product given as a prize is provided “as is” without any warranty from WeTrade, and WeTrade does not manufacture the prizes. Any product warranty is provided by the manufacturer, not by WeTrade. WeTrade is not liable for any harm or injury resulting from your use of a prize. Brands or logos on prizes are trademarks of their respective owners, and those companies are not affiliated with or sponsoring WeTrade’s contests or rewards.

5.6 Taxes: If any prize is considered taxable income or requires tax reporting, you are solely responsible for paying any such taxes. For larger prize values, WeTrade may require you to complete an IRS Form W-9 and provide a Social Security Number for tax reporting, and WeTrade may issue an IRS Form 1099 to you if required by law.

5.7 Fraud and Abuse: WeTrade reserves the right to disqualify any user and withhold or revoke WeCoins or prizes if we find or suspect that the user has tampered with the Service, engaged in fraud, cheated, created multiple accounts, or otherwise violated these Terms or the spirit of the game. This includes engaging in any behavior to unjustly accumulate WeCoins (such as exploiting bugs or colluding with other users) or attempting to manipulate the outcome of any game or contest. WeTrade’s decisions in such cases are final. WeTrade may also terminate or suspend your account (see Section 11) if you violate these rules. No pump-and-dump schemes or market manipulation tactics are allowed: You must not use the platform to coordinate or promote any real-world securities price manipulation or fraudulent investment schemes. Even within the game, collusive or manipulative behavior to gain unfair advantage is prohibited.

5.8 Expiration and Changes: WeCoins do not expire during the beta period. However, WeTrade reserves the right to impose expiration dates or adjust the WeCoin system in the future (for example, after beta). We also reserve the right to discontinue the WeCoin program or any rewards at any time; if we do so, we will provide notice and may allow a limited period for redemption of any accumulated WeCoins. WeTrade will not be liable for any loss of potential value or opportunities resulting from any changes to or termination of the WeCoin or reward system.

6. User Conduct and Acceptable Use

WeTrade is a community of users who are passionate about learning and discussing investing. You agree to use the Service in a respectful and lawful manner. You are solely responsible for all content that you create, post, transmit, or display on or through WeTrade. By using the Service, you agree that you will NOT:

WeTrade reserves the right to monitor, review, remove, or disable user content at our discretion, particularly if we believe it violates these Terms or our policies, or for any other legitimate reason. However, WeTrade is not responsible for user content and does not guarantee that we will remove content you find objectionable. You use the social features at your own risk, and you understand that exposure to various viewpoints is part of the experience. We encourage users to report content or behavior that violates these Terms through the in-app reporting tools or by contacting us. We will make good faith efforts to review reports and take appropriate action. Repeated violation of these rules may result in suspension or termination of your account (see Section 11).

7. User Content and License Grant

7.1 Ownership of Your Content: WeTrade does not claim ownership of the content that you post or submit (such as your posts, comments, or profile information). You retain all rights in the content you create, subject to the limited license you grant us below.

7.2 License to WeTrade: By submitting or posting content on WeTrade, you grant WeTrade a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, copy, reproduce, distribute, adapt, publish, translate, create derivative works of, publicly display and perform your content in connection with operating and providing the Service. This license is solely for the purpose of displaying your content within the app, promoting the Service, and facilitating user-to-user communication. For example, we may display your post to other users, make copies for backup, or use excerpts in marketing to showcase community activity (if we do so, we will usually seek additional permission). This license ends when you delete the content from the Service, except to the extent others have re-posted or shared it, or it was otherwise stored as part of routine backups.

7.3 Your Responsibilities: You represent and warrant that you have all necessary rights to post any content you submit, and that such content does not violate any laws or infringe anyone’s rights (including intellectual property, privacy, or publicity rights). You are solely responsible for any third-party permissions or licenses required for your content. If your content includes feedback, ideas, or suggestions to WeTrade, note that under Section 14.3 (Feedback) we may use those freely.

7.4 No Endorsement: Any user content you see on WeTrade (including opinions, advice, or statements from other users) belongs to the respective users, not WeTrade. WeTrade does not endorse any user content, and we make no warranties about its accuracy or reliability. Other users’ posts reflect solely their personal opinions — you should not rely on any user-posted information for actual investment decisions (see Section 8). Always use your own judgment and consult professional advice as needed.

7.5 Third-Party Content: As noted, the Service may include content from third parties (e.g., news, market data, or links). WeTrade is not responsible for any third-party content or websites that may be accessible via the Service. If you click a third-party link, you do so at your own risk, and that third party’s terms and privacy policy may apply. WeTrade does not guarantee the accuracy, validity, or legality of third-party content, and you agree that WeTrade will not be liable for any damages or losses caused by your use of or reliance on any third-party materials.

7.6 DMCA/Copyright Policy: WeTrade respects intellectual property rights and expects users to do the same. If you believe that any content on WeTrade infringes your copyright, you may send a written notice to our designated Copyright Agent at [email protected] (or the contact address in Section 17) with the subject “DMCA Notice.” Your notice should include: (a) identification of the copyrighted work you claim is infringed; (b) identification of the content on our Service that you believe infringes your work, with enough detail for us to locate it; (c) your contact information; (d) a statement that you have a good faith belief the use is not authorized; (e) a statement under penalty of perjury that your notice is accurate and you are the copyright owner or authorized to act on their behalf; and (f) your physical or electronic signature. WeTrade will review and, if appropriate, remove the content and notify the user. We may terminate accounts of repeat infringers in appropriate circumstances.

8. No Investment Advice; No Brokerage Services

WeTrade is a platform for simulated trading and social sharing, NOT a registered broker- dealer, exchange, or investment adviser. All information provided on WeTrade (whether by us, by third-party data providers, or by users) is for educational and informational purposes only, and nothing on WeTrade constitutes financial or investment advice, or an offer, recommendation, or solicitation to buy or sell any security or financial product.

In summary, WeTrade is a technology and educational platform, not a licensed financial advisor or broker. Nothing on WeTrade should be construed as an endorsement of any particular investment or strategy. You acknowledge that investing in the real world carries risk of loss, and that you will not hold WeTrade liable for your investment decisions. If you choose to apply knowledge gained from WeTrade to real investments, you do so entirely at your own risk.

9. Beta Software Disclaimer

Please be aware that WeTrade is currently in a Beta phase, which means the Service is still under development and testing. As a beta user, you may encounter software bugs, glitches, or incomplete features. WeTrade provides the Beta Service “as is” without any guarantee of completeness or reliability during this testing period. We greatly appreciate your feedback on any issues, but we cannot promise the Service will be free from errors or downtime.

We thank you for helping us improve WeTrade during this beta. Your use of the Beta is at your own risk, and you agree that WeTrade shall not be responsible for any damages or harm resulting from Beta software issues beyond what is permitted by law.

10. Intellectual Property Rights

10.1 WeTrade’s IP: All content and materials within the Service (excluding your own user content) are owned by or licensed to WeTrade and are protected by intellectual property laws. This includes the WeTrade name and logos, the app’s design, graphics, software code, information on the Service, compilation of user postings, and all other Content provided by WeTrade (collectively, “WeTrade Content”). WeTrade retains all rights, title, and interest in and to WeTrade Content. You are granted a limited, revocable, non-exclusive, non- transferable license to access and use the Service and WeTrade Content for your personal, non-commercial use only, in accordance with these Terms. You may not otherwise use, copy, reproduce, modify, distribute, or create derivative works from any WeTrade Content without our express written permission. All trademarks, logos, or service names displayed in the Service (whether belonging to WeTrade or third parties) are trademarks of their respective owners. You are not granted any right or license to use them.

10.2 Restrictions: You agree not to reverse engineer, decompile, or disassemble any software or technology used to provide the Service. You will not remove or alter any copyright, trademark, or other proprietary notices on the Service. You will not use any automated means (such as bots, scrapers, or spiders) to access WeTrade or collect content or information without our permission. If you print or download materials from WeTrade, you must retain all copyright and other notices on them. We reserve all rights not expressly granted to you.

10.3 Third-Party IP: Some content on WeTrade is licensed from third parties (for example, stock data, news, or certain graphics). Such content remains the property of its respective owners. WeTrade’s license to such content is for providing it through our Service; your use of third-party content may be subject to additional terms of those third parties. For instance, if we show you a news article, the copyright belongs to the publisher, and you may need to visit the publisher’s site for full terms. You must not remove or obscure any attribution or links to third- party sources.

10.4 User Content License to Others: When you share content publicly on WeTrade (such as posting to a public forum or feed), other users may view and share your content. WeTrade enables social features like re-posting; by posting, you allow other WeTrade users to view and potentially share your content within the platform. WeTrade is not responsible for third-party abuse of your content, but we expect users to respect each other and these Terms.

10.5 Copyright Infringement Policy: As noted in Section 7.6, WeTrade will respond to proper notices of alleged copyright infringement. We may remove or disable content claimed to be infringing and will make a good faith attempt to contact the user who posted it with information about the removal. WeTrade may terminate the accounts of users who are repeat infringers in appropriate circumstances.

11. Termination and Suspension

11.1 By You: You may stop using the Service at any time. You may also delete your account by following the instructions in the app settings or contacting us at [email protected] with your request. Account deletion will remove your profile and personal data from active visibility, but some information may be retained in backups or as required by law (see Privacy Policy). If you delete your account, you will lose access to any accumulated WeCoins or unredeemed rewards — these cannot be recovered once the account is gone.

11.2 By WeTrade: WeTrade reserves the right to suspend or terminate your account or access to the Service at any time, with or without notice, for any reason or no reason, including if we believe: (a) you have violated these Terms or any policy; (b) you create risk or possible legal exposure for us; (c) you haven’t accessed your account for an extended period; or (d) our provision of the Service to you is no longer commercially viable. We may also suspend the Service as a whole or remove the app from app stores at any time. Where reasonable, we will attempt to notify you of the termination or suspension, e.g., by email or at next attempt to log in.

11.3 Effect of Termination: Upon termination of your account, whether by you or us, your right to use the Service will cease immediately. You will no longer have access to your profile, content, or any in-app progress (including WeCoins). Any licenses you granted to WeTrade for your content will survive to the extent that we may retain archival copies or as needed for legal compliance. Sections of these Terms which by their nature should survive termination (such as indemnification, disclaimers, and liability limitations) will continue to apply. Termination of your account does not waive or release any liability or obligation which may have arisen prior to the date of termination.

11.4 No Liability for Termination: You agree that WeTrade will not be liable to you or any third-party for any termination or suspension of your account or access to the Service, or for the deletion of your content, provided that such termination is in accordance with these Terms. If you believe your account was terminated in error, you may contact us to request review, but WeTrade’s decision will be final.

11.5 Continuation of Service for Others: If your account is terminated, these Terms will still apply to other users and to you regarding your prior use (for example, rights and licenses you granted, or any indemnification obligations you incurred). If the Service itself is discontinued entirely by WeTrade, we will make reasonable efforts to inform users and perhaps provide an opportunity to redeem any outstanding WeCoins for available prizes before shutdown, but we do not guarantee any specific notice period.

12. Privacy Policy

Your privacy is important to us. Our practices concerning the collection, use, and sharing of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy and consent to the collection and use of your data as described. Key points: We collect information you provide (like your name, contact info, age) and data on your use of the app. We use AWS (Amazon Web Services) to store user data securely in the cloud. We implement reasonable security measures to protect your data, but no system is 100% secure. We may share information with service providers as needed to operate the Service (for example, sending verification texts or analyzing usage) and as required by law (see Privacy Policy for details).

Children’s Privacy: As stated, we do not knowingly collect personal data from children under 13. If you are 13-17, you should use the Service with parental guidance. If a parent believes their child under 18 has provided personal data without consent, they can contact us to request deletion.

Data Rights: Depending on your location (e.g., California residents under CCPA), you may have certain rights to access or delete personal data. Please refer to the Privacy Policy and contact us for such requests.

Account Security: We will never ask you for your password via email or any outside channel. Keep your authentication credentials confidential. If you use a third-party login (if enabled, e.g., sign in with Google/Apple), those third-party terms also apply.

By using WeTrade, you consent to receiving transactional emails and messages from us (e.g., account notifications, security alerts). You can opt into or out of marketing emails separately. For SMS, you can reply STOP to opt out of texts (though this might affect login verification).

If you have questions about our privacy practices, please review the full Privacy Policy or contact us as described in Section 17.

13. Disclaimers of Warranties

WeTrade is provided to you on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, WeTrade disclaims all warranties of any kind, whether express, implied, or statutory, regarding the Service. This includes, but is not limited to: implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will meet your requirements or expectations, or that it will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Specifically:

No advice or information, whether oral or written, obtained from WeTrade or through the Service shall create any warranty not expressly stated in these Terms. You assume all risk for any harm or damage that results from your use of the Service or content. Some jurisdictions do not allow the disclaimer of certain warranties, so some of the above disclaimers may not apply to you. In such cases, warranties are disclaimed to the fullest extent permitted by applicable law.

14. Limitation of Liability

To the fullest extent permitted by law, WeTrade and its parents, affiliates, officers, directors, employees, agents, partners, and licensors (collectively, the “WeTrade Parties”) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of data, loss of goodwill, or other intangible losses, arising out of or related to your access to or use of (or inability to use) the Service. This is true even if we have been advised of the possibility of such damages.

To the extent permitted by law, the total liability of the WeTrade Parties for any claim arising out of or relating to these Terms or the Service is limited to the greater of: (a) the amount you have paid to WeTrade for the Service in the 12 months prior to the event giving rise to the liability, or (b) USD $100. (Given that WeTrade is free to use, it will likely be $0 in most cases.)

We do not exclude or limit our liability where it would be illegal to do so – this includes any liability for gross negligence, willful misconduct, or for death or personal injury directly caused by our negligence, or fraud. However, in jurisdictions where allowed, we exclude any liability for “incidental or consequential damages” as noted above, and any liability in excess of the limits stated.

Specific Acknowledgments: You specifically acknowledge that the WeTrade Parties are not liable for:

WeTrade’s liability is limited in accordance with this section regardless of the legal theory (contract, tort, negligence, strict liability, or anything else) on which any claim is based.

Because some states or jurisdictions do not allow certain limitations of liability, some of the above limitations may not apply to you. In such cases, liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless the WeTrade Parties from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) that arise out of or relate to: (a) your use of the Service, (b) your violation of these Terms, any law, or any rights of a third party, or (c) any content you post or submit (including claims of intellectual property infringement, defamation, or data privacy violations arising from your content).

This means you will pay any amount of money, judgment, or expense that the WeTrade Parties incur as a result of your actions or content, to the extent we are not at fault. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate in such defense. You may not settle any claim that implicates any of the WeTrade Parties without our prior written consent.

16. Dispute Resolution and Arbitration

Please read this section carefully, as it affects your legal rights. It provides that most disputes between you and WeTrade will be resolved by binding arbitration on an individual basis, rather than in court, and that you waive your right to participate in a class action or class arbitration.

16.1 Informal Resolution: We hope to resolve any concerns you may have through our support team. Before filing a formal claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. Please provide a brief written description of the dispute and your contact information. We will attempt to resolve the dispute informally within 30 days. If we cannot, then the following terms apply.

16.2 Arbitration Agreement: Except for the exceptions described in Section 16.3 below, you and WeTrade agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (collectively, “Disputes”) will be settled by binding arbitration. Arbitration is a more informal way of resolving disputes than a lawsuit in court. It uses a neutral arbitrator instead of a judge or jury, and is subject to limited review by courts. However, you are entitled to a fair hearing, and the arbitrator can award the same damages and relief that a court can (including injunctive and declaratory relief or statutory damages).

You and WeTrade waive your rights to a jury trial and to have any Dispute resolved in court. You also agree not to participate in a class action or class arbitration against each other. The arbitration will be conducted confidentially, in English, and governed by the Federal Arbitration Act (FAA) and federal arbitration law (for US users). If for any reason the FAA does not apply, the laws of the state specified in Section 16.7 will govern.

16.3 Exceptions: a) Small Claims: Either you or WeTrade may assert claims in small claims court (if they qualify) rather than arbitration. b) Intellectual Property: Notwithstanding the above, either party may seek injunctive or equitable relief in a court for claims related to intellectual property infringement (for example, unauthorized use of trademarks, piracy of software, etc.). c) Opt-out: You have the right to opt out of this arbitration agreement by sending a written notice of your decision to opt out to [email protected] or to our mailing address (Section 17) within 30 days of first agreeing to these Terms. Your notice must include your name, address, email associated with your account, and a clear statement that you want to opt out of this arbitration agreement. If you opt out, or in the event the arbitration agreement is deemed unenforceable, you agree to the exclusive jurisdiction of the courts as described in Section 16.7 below to resolve any Disputes.

16.4 Arbitration Procedures: If a Dispute arises and we do not resolve it informally, the Dispute shall be resolved by binding arbitration administered by JAMS (or if JAMS is not available, another established alternative dispute resolution provider agreed to by both parties). The arbitration will be conducted by a single neutral arbitrator. For consumer users, we will ensure the arbitration location is reasonably convenient, or you may choose to have it conducted by telephone or video or based on written submissions if in-person hearing is not feasible. JAMS Streamlined Arbitration Rules and Procedures (or comparable rules) will apply unless the arbitrator determines another set of rules is more appropriate to ensure a fair process. WeTrade will pay the arbitration provider’s fees for first-time claims up to $75,000, and will not seek attorneys’ fees from you in arbitration unless the arbitrator finds your claim frivolous (as defined by applicable law). Each party will bear its own attorneys’ fees, unless a law says otherwise.

The arbitrator will issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. The arbitrator’s award is binding and may be entered as a judgment in any court of competent jurisdiction.

16.5 Class Action Waiver: You and WeTrade agree that any proceedings to resolve or litigate any Dispute will be conducted solely on an individual basis, and not in a class, consolidated, or representative action. A dispute between us will not be combined with any other without the prior written consent of all parties to all affected arbitrations or litigations. If for any reason a claim proceeds in court rather than arbitration, you and WeTrade each waive any right to a jury trial and also agree that you or we will not commence any class action against the other.

16.6 Severability of Arbitration Terms: If the class action waiver in Section 16.5 is found to be illegal or unenforceable as to all or some parts of a Dispute, then those parts will not be arbitrable and will proceed in court, with the rest proceeding in arbitration. If any other provision of this Section 16 (Dispute Resolution) is found unenforceable, that provision shall be severed and the remaining arbitration terms shall be enforced (but in no case shall there be a class or representative arbitration).

16.7 Governing Law and Jurisdiction: These Terms and any Dispute (unless otherwise provided in Section 16.2) shall be governed by United States federal law and by the laws of the State of [Florida], without regard to its conflict of laws principles. Subject to the arbitration provisions above, you agree to submit to the personal jurisdiction of the state and federal courts located in [Broward County, Florida] for the purpose of litigating any disputes hereunder. We both agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply.

This Section 16 shall survive termination of your account and this Agreement.

17. Additional Terms for Apple iOS and Google Play Apps

The following additional terms apply to you if you obtained the Service through the Apple App Store or Google Play Store. These terms are required by Apple and Google respectively, and are between you and WeTrade (not Apple or Google):

17.1 Acknowledgment: You and WeTrade acknowledge that this Agreement is between us (the developer) and you, not with Apple Inc. or Google LLC. WeTrade, not Apple or Google, is solely responsible for the WeTrade app and its content. However, Apple and Google and their subsidiaries are third-party beneficiaries of this Agreement and have the right to enforce it against you as such.

17.2 Scope of License: The license granted to you to use the WeTrade app is a limited, non- transferable license to use the app on any Apple iPhone, iPad, or iPod Touch that you own or control and as permitted by the App Store Usage Rules, or on any Android device pursuant to the Google Play Terms. This license does not allow you to use the app on devices you do not own or control, and you may not distribute or make the app available over a network where it could be used by multiple devices at the same time. You agree that you will only use the app as permitted by the usage rules in the applicable app store terms.

17.3 Maintenance and Support: Apple and Google have no obligation to provide any maintenance or support services for the app. WeTrade is solely responsible for providing any support or maintenance for the app as specified in these Terms or as required under applicable law. You acknowledge that you will look solely to WeTrade (and not Apple or Google) for any maintenance or support issues.

17.4 Warranty: In the event of any failure of the WeTrade app to conform to any applicable warranty, you may notify Apple (if you obtained the app via iOS) and Apple may refund the purchase price (if any) for the app to you; to the maximum extent permitted by applicable law,Apple will have no other warranty obligation whatsoever with respect to the app. Likewise, Google has no warranty obligations for the app. As stated in Section 13, WeTrade has disclaimed all warranties to the extent permitted; however, in any case of failure to meet a warranty that is not effectively disclaimed, WeTrade (not Apple or Google) is solely responsible for the app, subject to the limitations of liability herein.

17.5 Product Claims: You acknowledge that Apple and Google are not responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app. This includes, but is not limited to: (i) product liability claims, (ii) any claim that the app fails to conform to any legal or regulatory requirement, (iii) claims arising under consumer protection or similar legislation, or (iv) claims regarding intellectual property infringement. All such claims are governed solely by this Agreement and the laws applicable to WeTrade as provider of the app.

17.6 Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. This mirrors Section 2.3 above and is required by Apple’s terms.

17.7 Developer Contact: For any questions, complaints, or claims regarding the app, you can contact WeTrade at:

(This information is provided in compliance with Apple’s requirement that we furnish contact information for end-users’ questions or claims)

17.8 Third-Party Terms of Use: You must comply with any applicable third-party terms of agreement when using the WeTrade app. For example, if your wireless carrier or internet provider has terms for data usage, or if you are using an iPhone, you must not be in violation of your wireless service agreement when using the app (e.g., exceeding data limits or jailbreaking your device in violation of your device agreement).

17.9 Third-Party Beneficiaries: You acknowledge and agree (as stated above) that Apple, and Apple’s subsidiaries (for iOS users), and Google and its subsidiaries (for Android users), are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple and/or Google will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

Other than Apple or Google as described in this section, and WeTrade personnel as described in Section 16 (for arbitration purposes), there are no other third-party beneficiaries to this Agreement.

This Section 17 is intended to apply and be binding to the extent required by Apple’s App Store Terms of Service and Google Play’s Terms of Service. If there are any conflicts between this Section and the rest of the Terms, this Section shall prevail for the application on the Apple or Google platform, respectively.

18. Miscellaneous

18.1 Entire Agreement: These Terms (including any incorporated policies like the Privacy Policy, community guidelines, or contest rules) constitute the entire agreement between you and WeTrade regarding your use of the Service, and supersede any prior agreements or understandings between us relating to the Service. Any additional or different terms proposed by you (for example, in an email or chat) are rejected unless expressly agreed to in writing by an authorized representative of WeTrade.

18.2 No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. If we do expressly waive any provision of these Terms, such waiver does not imply a continuing waiver of that term or any other term.

18.3 Severability: If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

18.4 Assignment: You may not assign or transfer these Terms or your rights or obligations under this Agreement to any other person or entity without WeTrade’s prior written consent. Any attempt to do so without consent is void. WeTrade may freely assign or transfer this Agreement (in whole or in part) as part of a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise, without notice to you or your consent. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

18.5 Relationship: No joint venture, partnership, employment, or agency relationship exists between you and WeTrade as a result of this Agreement or your use of the Service. You are an independent user of the Service.

18.6 Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.

18.7 Survival: Any provisions of these Terms that by their nature should survive termination (including but not limited to indemnities, disclaimers, liability limits, dispute resolution, and licenses granted to WeTrade) shall survive any termination or expiration of this Agreement.

18.8 Governing Law: As stated in Section 16.7, the governing law of this Agreement (excluding any conflicts of law rules) is the law of the State of [Florida] and applicable U.S. federal law. If a dispute is not subject to arbitration, the courts located in [Broward County, FL] have jurisdiction, unless another location is required by law.
